Clem brings Fortune 7 deal experience, a background in banking and finance, and firsthand involvement in more than $1 billion of corporate financing to his work as a transactional attorney. He advises companies, owners, and investors on mergers and acquisitions, capital raises, energy transactions, derivatives-related matters, ownership transitions, and complex commercial deals. Equally fluent in the legal and financial dimensions of a transaction, Clem helps clients structure opportunities, navigate risk, preserve leverage, and protect enterprise value—from the first strategic decision through closing and integration.

Clients turn to Clem when a transaction demands more than document execution. He helps them navigate acquisitions, divestitures, financing challenges, governance decisions, and complex multi-party negotiations—particularly when legal choices can materially affect deal economics, regulatory exposure, and long-term growth.

Financial Insight and Business-Driven Deal Structure

Clem understands how lenders, buyers, sellers, investors, and operating companies assess credit, capital structure, risk, and return. He evaluates not only how a deal will close, but how its structure supports the investment thesis, deployment of capital, value-creation strategy, and eventual exit. He uses that perspective to identify the issues most likely to affect value, timing, leverage, and execution, helping clients anticipate obstacles and develop solutions that work in practice as well as on paper.

Clem has also completed the Wharton Online and Wall Street Prep Private Equity Certificate Program, adding focused training in investment analysis, deal economics, capital structure, value creation, and private equity transaction strategy.

Corporate Counsel for Growth, Capital, and Change

Clem serves as outside general counsel and corporate governance counsel to businesses across a range of industries. Companies often engage him during periods of growth, ownership change, restructuring, capital formation, and entry into new markets. He advises on day-to-day corporate matters and transformative transactions, helping owners and management teams align governance, securities compliance, financing, and deal strategy with their commercial objectives.

Teaching, Service, and Interests

Clem has served as an adjunct professor in business disciplines and law, bringing practical experience from banking, finance, and legal practice into the classroom. He also serves on the Board of Directors of The Life Enrichment Center, a nonprofit organization located in Norfolk, Virginia. Outside his professional and community work, Clem is a pianist and practices Wing Chun and Escrima.
